Union Finance Minister Reviews Regional Directorates and Registrar of Companies in New Delhi

Union Minister for Finance and Corporate Affairs Smt. Nirmala Sitharaman chaired a review meeting with Regional Directorates and the Registrar of Companies in New Delhi today. The meeting was attended by Union Minister of State for Corporate Affairs Shri Harsh Malhotra, the Secretary of the Ministry of Corporate Affairs (MCA), senior officers of MCA, and officials from all subordinate offices under MCA.

Discussion on Process Simplification and Service Delivery

The meeting included detailed interactions with Registrars of Companies and Regional Directorates on issues such as the processing of forms, fast-track mergers, incorporation and voluntary exit of Companies and LLPs through central facilities, e-governance, harmonisation of forms, adjudication, inquiries, inspection and investigation manuals, prosecution, appeals against adjudication orders, and compounding of violations.

The MCA Secretary informed the Finance Minister that manuals on enforcement have been standardised and that further process and rule simplification is underway to ensure transparent and timely service delivery.

Emphasis on Transparency and Modernisation

Smt. Sitharaman directed MCA to develop a live dashboard to enhance transparency within the systems. She highlighted that India aims to become a developed country by 2047, as envisioned by Prime Minister Shri Narendra Modi, which requires timely modernisation of processes. She stated that MCA’s guiding principle should be to make governance easy, transparent, and facilitative, and that the ministry must adopt a futuristic approach to serve stakeholders in a time-bound manner.

The Finance Minister noted that MCA has implemented frequent legislative amendments, such as those under the Insolvency and Bankruptcy Code, to keep pace with changing times and ensure responsive governance. She also emphasised the role of corporate governance in building public trust through transparent financial information and underscored MCA’s responsibility in guiding and regulating companies to maintain well-managed governance structures.

Way Forward and Recommendations

Smt. Sitharaman encouraged MCA officials to develop effective ways of conveying legal requirements to stakeholders and to conduct frequent internal discussions to suggest measures for improving ease of doing business.

During his address, MoS MCA Shri Harsh Malhotra stated that MCA should follow the motto of maximum governance and minimum government. He suggested rationalising and reducing the number of forms to lessen compliance burdens and recommended frequent stakeholder interactions to address issues promptly. Shri Malhotra also proposed creating an electronic corpus of guidance materials such as videos and presentations for stakeholders and emphasised the importance of time-bound processes to benefit end users.
